Acceptance
These Terms of Use (the "Terms") govern your access to and use of www.govsoft.com (the "Site"). By using the Site you agree to these Terms, the Acceptable Use Policy, and the Privacy Policy, which are incorporated by reference. If you do not agree, do not use the Site.
Scope
The Site is the informational and marketing website of GovSoft, a technology company whose platforms and services are used in offices of government and by entities that operate in regulated industries. GovSoft products and services are provided only under separate written agreements, and nothing on the Site creates a contract for, or modifies the terms of, any GovSoft product or service. GovSoft is a private company; nothing on the Site implies endorsement of GovSoft by, or affiliation of GovSoft with, any office of government.
Permitted Use
You may view the Site and use its content for your own informational purposes, including internal evaluation of GovSoft by your organization. All other use requires our prior written permission.
Ownership and Reproduction of Content
All content on the Site, including text, graphics, illustrations, page designs, downloadable documents, and software, is the property of GovSoft or its licensors and is protected by United States and international copyright and other intellectual property laws. No Site content may be reproduced, republished, distributed, publicly displayed, modified, or used to create derivative works, in any form or medium, without an express written license from GovSoft. Trademarks
GovSoft's names, logos, and brand elements are trademarks of GovSoft, LLC. No use of any GovSoft trademark is permitted without an express written license from GovSoft. See the Trademark Policy for the current list of marks and how to request permission.
Automated Access
Search and discovery crawlers may access the Site in accordance with our published robots.txt directives. Automated bulk downloading, harvesting of content for republication, and any automated access that circumvents our technical controls are prohibited, and republication of Site content in any product, dataset, or publication requires a written license as described above.
Third-Party Sites
The Site may link to third-party websites. GovSoft does not control and is not responsible for their content or practices, and a link does not imply endorsement.
Disclaimers
The Site and its content are provided "as is" and "as available," without warranties of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Site content is general information, not professional advice, and may be updated or corrected at any time without notice.
Limitation of Liability
To the fullest extent permitted by law, GovSoft and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Site, and GovSoft's total liability for any claim relating to the Site will not exceed one hundred dollars. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
Indemnification
You agree to indemnify and hold GovSoft harmless from claims, damages, and expenses, including reasonable attorneys' fees, arising from your violation of these Terms or your misuse of the Site.
Governing Law and Venue
These Terms are governed by the laws of the State of Ohio, without regard to its conflict of law rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Cuyahoga County, Ohio, and you consent to their jurisdiction.
Changes
We may revise these Terms from time to time. The date at the top of this page reflects the most recent revision, and continued use of the Site after a revision takes effect constitutes acceptance.
General
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. These Terms, together with the policies they incorporate, are the entire agreement between you and GovSoft regarding the Site. Our failure to enforce a provision is not a waiver of it. These Terms bind GovSoft and its successors and assigns.
